This Privacy Policy ("Privacy Policy") discloses, among other things, terms and conditions, the practices and policies adopted by Vigyanlabs Innovations Private Limited ("Vigyanlabs") a company incorporated under the Companies Act, 2013 and having it registered office at JCK Industrial Park, Hebbal, Belagola Post, Mysuru 570016, for collecting, storing, retrieving or otherwise processing Personal Information and Sensitive Personal Information (as defined in clause 2 of this Policy)it may receive from its Users or Visitors or otherwise disclosed to Vigyanlabs by the Users or Visitors accessing Vigyanlabs Website including websites or links, modules, platform in relation to Vigyanlabs products and services (collectively or individually the "Website") or for buying products and services from IPM+ on the Website.

The Policy seeks to comply with and construed in accordance with laws and regulations of India including laws and regulations relating to The Information Technology Act, 2000, the Information Technology (Reasonable security practices and procedures and sensitive personal data or information) Rules, 2011, as applicable ("Rules").

This Policy is applicable to all Personal Information and Sensitive Personal Information that may be obtained from or disclosed by the Users or Visitors for accessing the Website or buying products or services from Vigyanlabs through the Website..

BY CLICKING ON "I ACCEPT" OR ACCESSING THE WEBSITE (AS APPLICABLE) THE USER OR VISITOR HEREBY ACCEPTS, ACKNOWLEDGES AND AGREES TO BE BOUND BY THE TERMS OF THIS POLICY AND FURTHER GRANTS CONSENT FOR PROVIDING PERSONAL INFORMATION AND SENSITIVE PERSONAL INFORMATION TO VIGYANLABS AND TRANSFER OF SUCH INFORMATION TO A THIRD PARTY IN RELATION TO ACCESSING THE WEBSITE OR BUYING OF PRODUCTS THROUGH THE WEBSITE OR OTHERWISE PROCESSING OF PERSONAL INFORMATION AND SENSITIVE PERSONAL INFORMATION BY OR ON BEHALF OF VIGYANLABS.
IF ANY USER OR VISITOR DOES NOT AGREE WITH THIS PRIVACY POLICY, OR TERMS OF USE SUCH USER OR VISITOR SHALL NOT USE OR ACCESS THIS WEBSITE.

1. DEFINITIONS

1.1 "General Information" will have the same meaning ascribed to it in clause 3.1 of the Policy;

1.2 "Personal Information" means the information disclosed by a User or a Visitor, in connection with buying of products through the Website and includes name, age, email, occupation, residential address, telephone number, company name and any other personal details, which are capable of identifying the User. By way of clarity, Personal Information does not include any information of User or Visitor that is available in public domain;

"Rules" is defined in the preamble to this Policy;

"Sensitive Personal Information" excluding any information that is freely available or accessible in the public domain or is furnished under laws applicable in India, means and includes the following information, which may be required for processing the request of buying of products or services or otherwise providing any information or feedback to User or Visitor through the Website or other modes of communication such as email: (a) password of the User; (b) physical, physiological or mental health condition of the User; (c) sexual orientation; medical records and history of the User; (d) Biometric of the User; and (e) financial information such as bank account or credit/debit card details or other payment instruction details of the User.

For the sake of convenience, “Personal Information” and Sensitive Personal Information” may be individually or collectively, as context permits, referred in this Privacy Policy as “Personal Information”.

"Terms of Use" means the terms and conditions mentioned on the Website; "User" means any person who has registered with Vigyanlabs to buy products through the Website;

"Visitor" means any person who visits or uses or accesses or browses the Website in any manner whatsoever and does not register on the Website for buying the products through the Website; and

"Website(s)"is defined in the preamble to the Policy.

2. COLLECTION, CONSENT AND PROCESSING OF PERSONAL INFORMATION

2.1 A Visitor to the Website may be required to reveal Personal Information while registering for buying products or services, sending queries or otherwise attempting to create relationship with Vigyanlabs through the Website. During registration, the Visitor is required to create an account on the Website by providing a username and other relevant details. Upon registration, the Visitor becomes a User of the Website. The account information and profile are password-protected so that only the user has access to User’s Personal Information. User password is created and controlled solely by the User. Vigyanlabs or its Website will never ask for a User's password through phone calls or emails. However, if any person, claiming to be an authorized representative of Vigyanlabs, contacts the User and requests for any Personal Information, the User shall decline to provide any information and further the User must immediately contact Vigyanlabs as per the contact details provided in clause 10 of this Policy.

2.2 The Personal Information will be used or processed by Vigyanlabs to facilitate buying of products or services, supply of products and services, realizing payments and incidental accounting purposes, regulatory requirements or otherwise providing any information or response to User or Visitor or send upgrade and update the information to the User in relation to the Vigyanlabs products and services. In addition to registration, Personal Information may be asked for reporting a problem with the Website or products on the Website or Vigyanlabs. Vigyanlabs will use reasonable efforts to ensure that the Personal Information provided by the User or Visitor is treated securely, in accordance with the relevant Terms of Use, this Policy and the Rules.

2.3 User or Visitor agrees and acknowledges that Vigyanlabs may share a User’s or Visitor’s Personal Information with any third party service providers on need- to-share basis in the event a product or service purchased from or to be purchased from Vigyanlabs require support from a third party service providers such as API providers, cloud computing service providers, internet service providers, banks and financial institutions for realizing payments for the product or services provided by Vigyanlabs ( the “Third Party Service Providers”) it being clarified explicitly to Visitor or User that Vigyanlabs shall not be held responsible or liable for acts or omissions of any Third Party Service Providers or misuse of a Visitor’s or User’s Personal Information.

2.4 Its is a regulatory requirement that Vigyanlabs shall process Personal Information of a User or Visitor only upon consent of the User or Visitor as applicable. By accessing Vigyanlabs Website or availing Vigyanlabs products or services or otherwise by proving Personal Information, a User or Visitor consents to the processing of Personal Information by Vigyanlabs as in compliance with this Privacy Policy. Visitor or User warrants that all personal Information provided to Vigyanlabs is true and accurate. Further, a Visitor or User consents and authorizes Vigyanlabs to communicate by means various modes such as including emails, phone calls.

2.4 IF A USER OR A VISITOR DOES NOT WISH TO PROVIDE PERSONAL INFORMATION, THE USER MUST NOT PROCEED WITH REGISTRATION ON THE WEBSITE. IF AT ANY POINT AFTER THE PERSONAL INFORMATION HAS BEEN PROVIDED TO VIGYANLABS, THE USER HAS THE OPTION OF AMENDING OR WITHDRAWING THE PERSONAL INFORMATION. HOWEVER, VIGYANLABS IS NOT RESPONSIBLE FOR ANY INCORRECT OR INCOMPLETE PERSONAL INFORMATION GIVEN BY A USER OR ANY CONSEQUENCES ARISING DUE TO THE DISCLOSURE OF SUCH INCORRECT OR INCOMPLETE PERSONAL INFORMATION. FURTHER, THE USER OR VISTOR SHALL KEEP VIGYANLABS AND ITS AFFILIATES, SHAREHOLDERS, THEIR RESPECTIVE OFFICERS AND EMPLOYEES, AND ANY SERVICE PROVIDERS OR CONTRACTORS INDEMNIFIED AND HOLD HARMLESS AGAINST ANY LOSSES, ACTIONS OR CONSEQUENCES ARISING DUE TO FURNISHING OF SUCH INCORRECT OR INCOMPLETE PERSONAL INFORMATION OR CORRECTIONS MADE BY SUCH USER OR VISITOR.

2.5 Vigyanlabs may make amendments to this Privacy Policy at Vigyanlabs's sole discretion. However, Vigyanlabs will not be held liable for any consequence arising out of such amendments to the Privacy Policy.

2.6 If a User or a Visitor provides incomplete or incorrect Personal Information, the User or Visitor will be permitted to rectify such information, however Vigyanlabs will not be held responsible for such incorrectness or incompleteness of the Personal Information provided by the User or Visitor or the consequences arising due to provision of incomplete or incorrect Personal Information. The User or Visitor will be permitted to change any Personal Information disclosed earlier. Further, Vigyanlabs or its affiliates will be indemnified by the User against any losses, actions or consequences arising due to furnishing of incorrect or incomplete Personal Information or corrections made by such User or Visitor.

3. GENERAL INFORMATION

3.1 While browsing through the Website, the Website's server may automatically record some general information about the Visitor's access, such as the date and time of visiting the Websites, the IP address being used, the type of browser being used etc. ("General Information"). Such General Information collected is not Personal Information and the Website's server does not link such General Information with the Personal Information, if any, furnished by the Visitor.

3.2 Vigyanlabs reserves the right to use General Information collected by it’s website for any purpose whatsoever including statistical analysis, marketing and promotional purposes. Consequently, Vigyanlabs may share such General Information or any analysis with any person, at its sole discretion.

5. COOKIES

When a Visitor or User visits a Website, one or more cookies will be sent to the computer or the device being used by the User. The Cookies are either used to improve the quality of the Website or for storing User preferences, improving search results and tracking User trends. The User has the option of disabling cookies via their browser preferences. However, Users are advised and made aware that if they disable cookies on their browser, some parts of the Website may not function as effectively.

6. INFORMATION SHARING AND DISCLOSURE OF PERSONAL INFORMATION AND WITHDRAWAL OFCONSENT BY A USER.

6.1 Only the persons authorized by Vigyanlabs will have access to Personal Information disclosed to Vigyanlabs. By clicking on "I ACCEPT", the User grants consent to Vigyanlabs for sharing the information with persons or entities associated with Vigyanlabs or with a third party, provided the third party has undertaken to ensure the same level of data protection.

6.2 The User may withdraw its consent at any time by sending a request in writing to Vigyanlabs. Upon the receipt of withdrawal request, Vigyanlabs will syop processing Personal Information in which event a User will not be able to avail any product or services from Vigyanlabs. Vigyan labs may retain User’s Personal Information for regulatory compliance purposes even after withdrawal of consent from a User..

6.3 Notwithstanding anything contained in this Policy, Vigyanlabs reserves the right to disclose any Personal Information that may be required to be disclosed under laws applicable in India or judicial or regulatory process or orders, without prior notice to or consent of the User.

6.4 A User or Visitor understands and acknowledges that Vigyanlabs shall not have control over use of Personal Information by third parties with whom Vigyanlabs has shared User’s Personal Information as contemplated in this Policy or otherwise Vigyanlabs cannot ensure compliance by a third party of confidentiality of User’s Personal Information. Vigyanlabs will not be liable in any manner for any loss of confidentiality attributable to acts or omissions of such third parties.

7. SECURITY

7.1 Subject to other terms and conditions of this Policy, Vigyanlabs shall take all reasonable measures and precautions to keep the Personal Information safe and secure and to prevent any unauthorized access to or misuse of the Personal Information while in the custody, either physical or digital of Vigyanlabs.

7.2 Vigyanlabs is not liable to any User for any loss, damage (whether direct, indirect, consequential or incidental) or harm caused to any User due to the unauthorized access or misuse of the Personal Information by any third party. Vigyanlabs has a comprehensive and documented information security programme that contains managerial, technical, operational and physical security control measures. The security practices comply with the Information Technology-Security Techniques and best practices for data protection comparable to the size and nature of operations of Vigyanlabs that have been duly approved and notified by the regulators in India.

8. NOTIFICATION OF CHANGES

Vigyanlabs reserves the right to update this Policy as it deems appropriate without having to notify Users in advance or provide specific notice to the Users post updating the Policy. If any changes to this Policy are made, Vigyanlabs will post the updated Policy on its Website. An updated policy will become effective from the date of its publication on the Website and will form a part of the Terms of Use by reference. Any continued use of the Website for buying products will signify the acceptance of the User of such new or updated policy, as the case may be. Hence, to make sure that Users are up to date with the latest changes, Vigyanlabs advises Users to frequently visit its Website.

9. LINKING TO THIRD PARTY WEBSITES

Vigyanlabs Website may include links to a third party websites. By clicking on a third party link, logo or other such items, or using certain services available on the third party website, the User or Visitor may be directed to third party website and in such circumstances, terms and conditions including privacy policy of such third party website will apply. Hence, Vigyanlabs suggests the User/Visitor to understand and in case of any queries or doubt contact the contact person named in third party website. Vigyanlabs shall not be responsible for the privacy practices or the content of any third party websites or otherwise breach of confidentiality or privacy obligations by such third parties.

10. GRIEVANCES

10.1 Vigyanlabs has designated a grievance officer for addressing any discrepancies and grievances of the Users and has published such officer's name and contact details on the Website. The grievance officer will redress the grievances within one month from the date of receipt of grievance from the User.

11. LAW AND JURISDICTION

The terms and conditions herein shall be governed by the laws of India and the appropriate courts at Bangalore, India shall have exclusive jurisdiction.
